In addition to these Terms and Condition, the Terms of use section on our firm’s website, also apply to this website, except that in the event of conflict between the two these Terms and Conditions shall apply.

The following terms and conditions shall apply to all access and/or use of any documents made available by Bird & Bird through the twoVenture page of our website (“twoVenture Documents“). Certain words used in these terms and conditions are to have the meanings assigned here. The individual who accesses and/or uses any twoVenture Document will be referred to as the “end user” and to the extent that such individual is acting on behalf of a business in whatever capacity: the “end user” and “he/she” will also include that business and any acceptance, agreement, acknowledgement, etc. by an individual end user shall bind such business.
We reserve the right to vary or alter these terms and conditions and/or any twoVenture Document from time to time. Any such change shall take effect upon posting to our website.

End-user use
These terms and conditions shall apply every time that the end user accesses and/or uses any twoVenture Document.
By accessing, downloading, printing or using any twoVenture Document, the end user indicates that he/she accepts these terms and conditions and agrees to abide by them on his/her own behalf and also on behalf of any business as end user on whose behalf he/she is accessing, downloading, printing or using any twoVenture Document. If the end user does not so agree to these terms and conditions then he/she must refrain from accessing or using in any way whatsoever any twoVenture Document.
The end user acknowledges and agrees that he/she may not access or use any twoVenture Document if such end user is a provider of legal services and we reserve the right to prevent access and claim damages should we discover that the end user have breached this restriction.
Intellectual property rights
We own all Intellectual Property Rights in the twoVenture Documents. We grant to the end user a non-exclusive, non-transferable, royalty free licence to access, download, copy, print, use, alter and modify the whole or any part of the twoVenture Documents in accordance with these terms and conditions. Nothing in these terms and conditions gives the end user any right, title or interest in or to the twoVenture Documents and the end user does not acquire any such right, title or interest through the use of the twoVenture Documents. If the end user requires third party software to use and/or access the twoVenture Documents, they agree to obtain a licence of that software at their own expense.
No guarantee or warranties
The twoVenture Documents are provided on an ‘as is’ basis. The end user acknowledges and agrees that the twoVenture Documents have not been prepared with the end user’s specific circumstances in mind and may not operate in accordance with their expectations or requirements. The twoVenture Documents should not be used as a substitute for legal or other professional advice, which should be obtained in specific circumstances. Additionally, the information provided in the twoVenture Documents does not constitute tax advice.
We give no express or implied representation or warranty (whether statutory or otherwise) in respect of any twoVenture Document (including, without limitation, as to whether they are of satisfactory quality, accurate, fit for purpose, free from inaccuracies or omissions, or up to date) and all such representations and warranties are excluded, except to the extent that their exclusion is prohibited by applicable law – see below.
Disclaimer of liability
If the end user has a specific legal question then it should be addressed to one of our lawyers. The end user acknowledges and agrees that the twoVenture Documents are for guidance only and they do not constitute a binding offer between the end user and us for the provision of any legal advice or performance of any other service in any jurisdiction. Nor does any end user accessing, or relying upon, the twoVenture Documents of itself imply any duty of care being assumed in any jurisdiction on the part of Bird & Bird toward such end user, or any other duty of the kind owed by a law firm to its clients.
Therefore Bird & Bird assumes no responsibility for any loss or damages in respect of any use of, or reliance on, any twoVenture Document and so disclaims all liability accordingly. Furthermore, Bird & Bird assumes no responsibility for any loss or damages that may be caused to any equipment or software owing to any viruses, defects or malfunctions in connection with accessing or using any twoVenture Document.
Any disclaimers or limitations of liability in these terms and conditions shall apply to the fullest extent permitted by applicable law, but nothing in these terms and conditions excludes or limits our liability for fraud or for death or personal injury arising from our negligence or for any other matter in respect of which liability cannot be excluded or restricted by applicable law.
Data Privacy
The end user acknowledges and agrees that we shall process information about the end user in accordance with our Privacy Policy and by accessing the twoVenture Documents the end user consents to such processing. The end user confirms that he/she has authority to share any information that the end user provides about the business on whose behalf he/she and other individuals. The end user further confirms that any information that he/she provides is non-confidential. We cannot agree and do not guarantee the confidentiality or security of any data that the end user provides.

Invalidity
If a provision of these terms and conditions is or becomes illegal, invalid or unenforceable in any jurisdiction, that does not affect:
- the legality, validity or enforceability in that jurisdiction of any other provision of these terms and conditions; or
- the legality, validity or enforceability in other jurisdictions of that or any other provision of these terms and conditions.
No partnership or agency
Nothing in these terms and conditions are to be taken to constitute a partnership between the end user and us, nor constitute either of the end user or us the agent of the other for any purpose.
Third Party Rights
The rights and protections afforded to Bird & Bird under these terms and conditions shall be deemed to be afforded to, and enforceable also by, each Bird & Bird entity. Otherwise, a person who is not an end user of the twoVenture Documents and so is not a party to these terms and conditions may not enforce any of the terms under the Contracts (Rights of Third Parties) Act 1999.
Governing law
Any dispute or claim between the end user and Bird & Bird arising out of or in connection with these terms and conditions, any twoVenture Document or its subject matter (whether allegedly contractual or non-contractual disputes and claims) shall be governed by and construed in accordance with English law. Users of the twoVenture Documents do so on the basis that they thereby submit to the non-exclusive jurisdiction of the English courts for the purpose of any such dispute or claim.
